Job Description:
Company Secretarial / Paralegal
*Location: Farnborough
*Job Type: Full-time, Permanent
*Hours of Work: Monday to Thursday, 09:00 - 17:30; Friday, 09:00 - 17:00 (with a one-hour unpaid lunch break)
We are seeking a dedicated Company Secretarial Paralegal to join our Corporate and Commercial Department. This role involves providing both legal and administrative support for company secretarial matters, including handling transactions and standalone company secretarial tasks. The ideal candidate will ensure efficient processes and high-quality support for our team and clients.
Day-to-day of the role:
*Manage incoming correspondence and ensure timely delivery to clients.
*Conduct company searches, including status checks and searches on completion matters, providing results to solicitors and clients as needed.
*Maintain and update statutory registers for clients, ensuring accuracy and compliance.
*Assist with incorporations and Companies House filings, including annual returns, director changes, and share capital updates.
*Draft and review board minutes and other company secretarial documents.
*Organize and prepare documentation for due diligence processes and data rooms.
*Ensure all relevant documents are properly indexed and accessible during corporate transactions.
*Provide company secretarial support for corporate transactions, including organizing electronic signatures.
*Assist with the preparation of company secretarial documentation for transactions.
*Provide company secretarial advice and administrative support for property transactions.
*Ensure all corporate documents are correctly filed, recorded, and organized for easy retrieval.
*Liaise with clients to gather necessary documentation and provide updates as required.
*Maintain strong client relationships through clear and professional communication.
*Work closely with solicitors and other team members to ensure all tasks are completed accurately and on time.
Required Skills & Qualifications:
*Experience in providing UK company secretarial services.
*Strong technical knowledge in corporate governance and compliance.
*Ability to build strong rapport with clients and maintain professional relationships.
*Keen commercial awareness and ability to understand the broader business context.
*Ability to work both independently and as part of a team.
*Excellent organizational skills and attention to detail.
