Company Secretarial Assistant
A Real Estate business based in London seek a Company Secretarial Assistant to join them as soon as possible on a temporary contract to the end of May.
4 days in office Fridays from home.
Working closely with the other Co Sec Assistant in the team, you will provide support to the Assistant Co Sec and Co Sec with day to day corporate compliance tasks.
Key responsibilities include:
*Maintain the statutory records via Diligent
*Prepare and file (via Diligent Entities or the Companies House web and online filing portals) confirmation statements and other event-driven statutory returns for UK incorporated entities
*Liaise with external Company Secretarial agents and advisers
*Draft routine and assist with drafting complex board minutes/director resolutions and shareholder resolutions
*Incorporate entities as required and facilitate their integration into the company
*Provide company secretarial meeting management services
*Facilitate the year end accounts process
*Respond to queries from the Finance function and the auditors
*Maintain the group structure charts and prepare ad hoc structure charts using Visio
*Maintain the list of registered entities for use by the function
*Handling and responding to banking-related and transaction-related information requests and KYC requests.
*Act as a point of contact for the function’s internal and external stakeholders
*Assist with the preparation and release of London Stock Exchange announcements
*Be vigilant to upcoming changes in corporate legislation, governance codes and guidance
*Provide cover for other team members
