Senior Tax Manager - Deals Tax (Share Schemes & Incentives)
London | Hybrid | £100,000 + Car Allowance, Bonus & Benefits
A leading Big 4 firm is seeking a Senior Tax Manager to join its specialist Deals Tax team, advising on management and employee incentive arrangements in transaction environments.
This team works at the centre of high-value deals, supporting Private Equity investors and C-suite executives of PE-backed businesses on the tax and commercial structuring of share schemes, management incentive plans (MIPs), and wider reward arrangements. Projects span acquisitions, disposals, refinancings and IPOs, often with an international dimension.
The Role You will play a key role across the deal lifecycle, delivering clear, commercially focused advice in a fast-paced environment.
Key responsibilities include:
* Leading advisory projects covering UK and international tax issues before, during and after transactions
* Advising management teams and PE investors on the design, implementation and restructuring of MIPs
* Supporting equity resets, joiner and leaver events, and ongoing incentive planning
* Assisting with exit strategies, including trade sales, secondary buyouts, IPO preparation and tax due diligence
* Producing high-quality technical advice tailored to senior stakeholders
* Building strong client relationships and collaborating with colleagues and external advisers
* Contributing to business development through proposals, networking and identifying new opportunities
This is a visible role offering direct exposure to decision-makers and the opportunity to influence outcomes on complex, high-profile transactions.
About You You will bring strong technical knowledge combined with commercial awareness and the confidence to operate in a deals-driven setting.
You will likely have:
* ACA and/or CTA qualification (or international equivalent), or equivalent relevant experience
* Solid expertise in share schemes, management incentive plans and rewards tax
* Experience within Deals Tax or a transaction-focused advisory environment
* Strong communication skills with the ability to explain complex concepts clearly
* Excellent analytical, project management and report-writing capabilities
* A proactive, collaborative approach and the ability to manage multiple priorities
