Job Description:
Non-Executive Director (Lay Member) - ICAEW Regulatory Board
The Institute of Chartered Accountants in England and Wales (ICAEW) has engaged Butler Rose to appoint a high-calibre Non-Executive Director (Lay Member) to join its independent Regulatory Board (IRB), playing a critical role in upholding public trust and ensuring the highest standards of professional conduct across the accountancy profession.
This is a strategically important appointment at a time of continued evolution in regulatory expectations. The IRB is responsible for overseeing ICAEW’s regulatory and disciplinary functions, ensuring they operate independently, effectively and in the public interest.
We are particularly interested in individuals with deep expertise in improvement regulation, experience across varied regulatory environments, and or a track record of transforming conduct and disciplinary processes. This insight will support the Board in ensuring that regulatory frameworks continue to evolve in line with ICAEW’s Regulation and Conduct Strategy 2030 and remain fit for purpose in a changing landscape.
As a Board member, you will contribute to strategic oversight, provide constructive challenge, and support the continuous improvement of regulatory and conduct activities. You will engage with senior stakeholders, including oversight regulators and government bodies, helping to shape policy, governance and performance standards.
Candidate Profile
*Senior board or executive-level experience with strong governance credentials
*Proven expertise in regulatory environments and or disciplinary frameworks
*Experience in driving transformation, improvement programmes or process reform
*Strong judgement, independence of thought and the ability to influence at board level
*A clear commitment to acting in the public interest
This role requires attendance at up to six in-person Board meetings per year (London and Milton Keynes), alongside preparation, committee involvement and occasional additional commitments. Term of Appointment will be three years with potential for reappointment for a further three years.
This is an opportunity to play a meaningful role in shaping the future of professional regulation within a respected and high-profile institution. All Board members receive an annual fee of £10,000 per annum. Expenses are reimbursed in line with ICAEW policy.
