Job Description:
Our client, an investment group acquiring, improving and disposing of businesses are looking to hire a Senior Legal Counsel & Assistant Company Secretary to be based in Birmingham.
This is a great opportunity to be No 2 in the legal function of a business with an active pipeline and continued deal activity.
About the role
This is an opportunity for the Senior Legal Counsel to join the business at the time of growth. You will work in a lean and highly regarded legal function supporting across the business.


Reporting directly to the General Counsel this is a substantive, visible role offering broad exposure across corporate, commercial, and governance matters.


The successful candidate will work closely with the General Counsel, CFO and wider executive leadership team, and will be expected to operate with a high degree of autonomy from the outset.


Key Responsibilities*M&A supporting all stages of the deal cycle, from origination and due diligence through to execution and post-acquisition integration.
*Commercial contracts and procurement including reviewing, drafting, and negotiating a wide range of commercial agreements across the group and its subsidiaries, and advising operational teams on contractual risk and regulatory matters.
*Corporate governance and company secretarial support with listed company obligations and assisting with the preparation of board and committee materials.
*Contributing to the group’s ESG strategy and supporting compliance with evolving disclosure requirements applicable to listed businesses.
*US subsidiary engagement.
*General legal advisory providing day-to-day legal support across UK business units and newly acquired subsidiaries, and identifying and managing legal risk across a dynamic and growing portfolio
About you
The Senior Legal Counsel:
*Will be a UK qualified solicitor with circa 4-8 PQE in corporate, commercial, or company secretarial matters.
*Demonstrable M&A experience is essential, whether gained through advising public or private companies in private practice or through substantive in house deal exposure.
*Experience in a listed company environment is advantageous. Company secretarial experience is beneficial but not a requirement; a genuine willingness to develop in this area is considered equally valuable
*The ability to combine strong commercial judgement with a collaborative and approachable manner.
*The ability to manage a varied workload and competing priorities, confident advising at senior level, and culturally aligned with a close-knit, high-performing team that places equal value on professional excellence and a collegiate working environment.
