Job Description:
Full job descriptionAn established international bank is looking to appoint an experienced Lending Documentation Officer.
This is a hands on role with responsibility for reviewing and assessing lending and security documentation following credit approval, ensuring facilities are appropriately documented, legally enforceable and compliant with approved credit conditions before drawdown.
The role will suit someone with a strong banking and finance legal/documentation background, particularly experience with LMA documentation, bilateral and syndicated lending, security documents and conditions precedent.
Key Responsibilities
*Review and draft lending documentation including LMA Facility Agreements, Guarantees, Debentures, Legal Charges, Intercreditor Agreements and Conditions Precedent documentation.
*Ensure proposed lending documentation accurately reflects approved credit terms and the bank’s internal policies.
*Review legal Conditions Precedent including Board Resolutions, Director Certificates, constitutional documents and legal opinions.
*Assess whether borrowers have the appropriate capacity and authority to enter into transactions prior to drawdown.
*Review security and collateral arrangements to ensure security interests are appropriately structured, enforceable and capable of being perfected.
*Identify documentation and legal risks including covenant wording, Events of Default, cross-default provisions and other non-standard terms.
*Negotiate key documentation clauses from the lender’s perspective while balancing commercial objectives with appropriate legal and credit risk protection.
*Act as a key point of contact for external legal counsel on transaction documentation.
*Work closely with Credit Risk, Corporate Banking, Institutional Banking and Front Office teams, escalating complex or non-standard documentation issues where appropriate.
*Maintain accurate credit files and ensure documentation is appropriately verified, stored and archived.
*Support reporting, documentation reviews and wider departmental projects as required.
Experience Required
*Degree in Law or equivalent legal qualification/practical legal experience.
*Minimum 3 years’ experience within Legal, Banking & Finance, with a strong focus on loan/credit documentation.
*Experience gained within a corporate or commercial banking environment is highly desirable.
*Strong knowledge of LMA standard documentation.
*Good understanding of UK corporate law and the creation and perfection of security.
*Experience reviewing complex lending and security documentation from a lender’s perspective.
*Excellent attention to detail with the confidence to identify and challenge documentation risks.
*Strong organisational and stakeholder-management skills.
*Previous exposure to syndicated lending, project finance and/or commercial real estate finance would be advantageous.
